How to Get Your Private Limited Company Name Approved in India

Your company name is its legal identity. The MCA name approval process (SPICe+ Part A) is quick — usually 1–2 working days — but rejection is common if naming rules are not followed. This guide covers everything you need to know to get your name approved on the first attempt.

Before you start

  • Shortlist of 2 proposed names (Part A allows 2 options)
  • PAN of one proposed director (for portal login)
  • DSC of the proposed director (needed to submit the form)

Step-by-step

  1. Check Name Availability on MCA Portal

Before filing, search for the proposed name on the MCA company search tool (mca.gov.in > MCA Services > Company/LLP Search). Also search the IP India trademark database to ensure the name doesn't conflict with a registered trademark. A conflict with a trademark is a valid ground for rejection even if no company exists with that name.

  2. Understand the Naming Rules

A valid Private Limited Company name must:

    • Be unique — not identical or too similar to any existing company or LLP name.
    • End with 'Private Limited' (abbreviated 'Pvt. Ltd.' is acceptable in informal use but the full suffix is required in the registered name).
    • Not include restricted/emblematic words (e.g., 'India', 'National', 'Bank', 'Insurance', 'Government') without prior approval from the relevant authority.
    • Not be offensive or contrary to public policy.
    • Reflect the principal business activity if the name is a 'coined' word (e.g., 'Techify' for a tech company).
  3. File SPICe+ Part A on the MCA Portal

Log in to mca.gov.in and initiate a new SPICe+ form. Complete Part A with: the proposed company name(s), brief description of the main business activity, and the NIC (National Industrial Classification) code. Submit with the director's DSC. Pay the name reservation fee of ₹1,000 for up to 2 proposed names.

  4. Respond to Resubmission Requests

The RoC may issue a 'Resubmission' with comments asking for justification (e.g., why a generic word is used) or proposing modifications to the name. Respond within the stipulated time (typically 15 days) with a detailed justification. Failure to respond causes the application to lapse.

  5. Receive Name Approval and Proceed to Part B

On approval, you receive a Name Approval Letter valid for 20 days. During this window, complete and submit SPICe+ Part B (the full incorporation filing). If Part B is not filed within 20 days, the name reservation lapses and you must re-apply.

Common mistakes to avoid

  • Proposing a name with a trademark conflict — the MCA cross-checks IP India records; a registered trademark owner can object and force a name change even after incorporation.
  • Choosing a name too similar to an existing company — names that differ only in punctuation, spacing, or a common suffix (e.g., 'Solutions' vs 'Solution') will be rejected.
  • Using restricted words without pre-approval — words like 'Bharat', 'India', 'National', 'Bank', 'SEBI', 'Reserve' require specific government approval before the name can be used.
  • Letting the 20-day approval window lapse — if Part B is not filed within 20 days of name approval, the entire process starts again.

Frequently asked questions

Can two companies have the same name?

No. The MCA ensures that no two registered companies or LLPs have the same or phonetically similar names. The system uses automated checks plus manual RoC review to enforce this.

How many name options can I submit?

SPICe+ Part A allows you to propose up to 2 names in order of preference. The RoC approves one or may reject both and suggest alternatives.

Can I use a foreign language word in my company name?

Yes, provided the word has a definite meaning and is not offensive. The MCA may ask for the translation and meaning if it is unclear. Names in Devanagari script or other Indian scripts are also permissible.

What if my preferred name is rejected?

You can file a fresh Part A with new name options. There is no limit on attempts, but each submission costs ₹1,000. Consider consulting a CA to evaluate name eligibility before re-filing.
